New York LLC and the Publication Requirement

New York requires a newly formed LLC to publish notice of its formation in two newspapers for six consecutive weeks, and in Manhattan that alone can cost well over $1,000. The county decides the price: a few hundred dollars upstate, roughly $1,400 to $1,900 in New York County, because the mandatory daily paper there is the New York Law Journal. Then there is a filing fee for the certificate of publication itself.

Fail to publish within the statutory window and the LLC’s authority to carry on business in the state can be suspended. This is the most expensive surprise in US formation, and it is unique to New York.

The publication requirement, step by step

  1. Two newspapers, designated by the county clerk of the county where the LLC’s office is located. One published daily, one weekly. You do not get to choose the cheapest paper in the state; you get the ones your county designates.
  2. Six consecutive weeks in both.
  3. Affidavits of publication from each newspaper.
  4. A certificate of publication filed with the Department of State, with both affidavits attached and its own filing fee.

Costs reported for Manhattan run from roughly $1,400 to $1,900 and upstate counties from about $100 to $300, checked 3 September 2026. Because the figure is set by newspapers rather than by the state, it changes without announcement — get a written quote for your specific county before you commit to New York.

The lever that matters: the cost follows the county of the LLC’s office. Founders who need New York for genuine reasons often locate the office outside New York County, and the saving is larger than every other formation cost combined.

The Biennial Statement

New York’s recurring filing is a Biennial Statement — every two years, not every year, at a nominal fee. It is one of the cheapest recurring obligations in the country and it does not replace the publication requirement; publication is a one-time obligation at formation, the Biennial Statement continues for the life of the company.

Two years is long enough to forget. A company that lets the Biennial Statement lapse goes past due, which shows up exactly when you need a certificate of good standing for a bank or a client.

Should a non-resident form in New York?

Usually not. The publication requirement is a four-figure entry cost for a benefit — being a New York entity — that only pays off if you are actually in New York. Add New York State income tax and, in the five boroughs, New York City taxes on top.

It is the right answer when:

  • you have an office or staff in New York;
  • your industry is concentrated there and clients check where you are registered — some financial and media work genuinely is;
  • you are already operating in the state, in which case registering is not optional and the question is only whether you do it properly.

If your business is a service company selling to clients worldwide from outside the US, Wyoming does the same job for a fraction of the cost, and no newspaper is involved.

What we do

  1. Tell you the publication cost for your county first, in writing, before you decide. This is the number that changes the decision, so it comes before the filing, not after.
  2. Articles of Organization filed with the Department of State.
  3. Publication arranged in the two designated newspapers, affidavits collected, certificate of publication filed within the statutory window.
  4. Registered agent and service-of-process address set up.
  5. EIN application, operating agreement, and BOI report with FinCEN.
  6. The Biennial Statement diarised two years out, because nobody remembers a two-year deadline.

What your state choice does not change

These are federal and they follow the company wherever it is formed:

  • Your EIN. Every LLC needs one to open a bank account, and with no SSN it is a fax or mail application to the IRS rather than the instant online one.
  • Form 5472. A foreign-owned single-member LLC files it with a pro-forma Form 1120 every year, at a penalty of $25,000 for missing it, whether or not the company earned anything.
  • Your BOI report. Filed with FinCEN, not with the state. Choosing an anonymous state does not make you anonymous to the federal government.

Anyone selling you a state on the basis that it removes one of these is selling you a $25,000 problem.

Frequently asked questions

How much does the New York LLC publication requirement cost?

It depends entirely on the county of the LLC’s office. Reported costs run from roughly $100 to $300 in many upstate counties to about $1,400 to $1,900 in New York County, where the mandatory daily paper is the New York Law Journal. A filing fee for the certificate of publication is charged on top.

What happens if a New York LLC does not publish?

The LLC’s authority to carry on business in the state can be suspended. Publication must be completed in two county-designated newspapers for six consecutive weeks, with affidavits filed alongside a certificate of publication.

How often does a New York LLC file a Biennial Statement?

Every two years, at a nominal fee. It is separate from the publication requirement: publication is a one-time obligation at formation, while the Biennial Statement continues for the life of the company. Two years is long enough that it is commonly forgotten.

Should a non-resident form in New York?

Usually not. The publication requirement is a four-figure entry cost in some counties for a benefit that only pays off if you are actually operating in New York, and New York State and City taxes follow.
