Nevada LLC for Non-Residents

Nevada offers strong privacy and no state income tax, and it is the most expensive of the privacy states to keep alive. Where Wyoming asks for one low annual report, Nevada wants an annual list of managers or managing members and a state business licence renewal — two recurring obligations, at a materially higher combined cost.
Non-residents who choose Nevada are usually choosing it for a reason connected to the state: gaming, an operation in Las Vegas, or professional advice specific to their situation. As a general-purpose formation state for someone with no US presence, Wyoming does the same job for less.
The two recurring filings
- Annual list. Nevada requires an annual list of managers or managing members, due on the anniversary month of formation.
- State business licence. A separate annual renewal, required of essentially every entity, on top of the annual list.
Both are set by the Nevada Secretary of State and are the reason Nevada’s running cost is higher than its neighbours’. Check the current amounts there before budgeting; we checked the structure on 3 September 2026.
Two deadlines instead of one is not a rounding error when you are managing a company from another continent. It is twice the chance of an administrative default.
Privacy compared with Wyoming
Nevada does not require members to be named in the Articles of Organization, and it does not share information with the IRS in the way some marketing implies is unique to it. Wyoming offers substantially the same state-level privacy.
The distinction worth knowing: Nevada’s annual list names managers or managing members. If your LLC is member-managed, that list puts a name in the public record every year. A manager-managed structure keeps the members out of it — which is a drafting decision to make at formation, not afterwards.
When Nevada earns its cost
- You are operating in Nevada. An office, staff, property, or a licensed activity in the state.
- A licensed industry with Nevada-specific rules, gaming being the obvious one.
- Your adviser has a reason specific to you — asset protection structuring, an existing Nevada entity to sit alongside.
And when it does not: if the pitch you read was "no state income tax and privacy", that is Wyoming and New Mexico too, at a fraction of the annual cost. Nevada is a fine state and an expensive default.

What your state choice does not change
These are federal and they follow the company wherever it is formed:
- Your EIN. Every LLC needs one to open a bank account, and with no SSN it is a fax or mail application to the IRS rather than the instant online one.
- Form 5472. A foreign-owned single-member LLC files it with a pro-forma Form 1120 every year, at a penalty of $25,000 for missing it, whether or not the company earned anything.
- Your BOI report. Filed with FinCEN, not with the state. Choosing an anonymous state does not make you anonymous to the federal government.
Anyone selling you a state on the basis that it removes one of these is selling you a $25,000 problem.
